BidForJunk Pro Provider Agreement

These terms are issued by CyberErrands Solutions Inc., operating the BidForJunk Pro platform (“BidForJunk Pro,” “we,” “us,” or “our”). BidForJunk Pro is the platform name, product name, and marketplace brand. CyberErrands Solutions Inc. is the legal owner and operator. This Provider Agreement governs independent providers, haulers, cleanout companies, junk-removal businesses, disposal providers, and related service providers that use BidForJunk Pro.
1. Agreement and Acceptance
By applying as a Provider, submitting documents, viewing available Jobs, bidding, winning a Job, committing to perform, receiving the service address, performing work, uploading completion evidence, or receiving payout through BidForJunk Pro, you agree to this Provider Agreement, the Terms of Use, the Operating Rules, the Refund, Chargeback and Credit Policy, the Privacy Policy, and the NET 30 Billing and Payment Policy as applicable.
2. Independent Contractor Status
You are an independent contractor and independent business. You are not an employee, agent, partner, joint venturer, representative, franchisee, or legal representative of CyberErrands Solutions Inc. or BidForJunk Pro. You control how you perform your services, subject to the accepted Job scope, platform rules, safety obligations, legal compliance, and customer requirements. You are solely responsible for your workers, subcontractors, vehicles, tools, equipment, licences, permits, insurance, disposal practices, taxes, payroll, workplace safety, legal compliance, and business expenses.
3. No Employment, Wage or Agency Relationship
No amount payable through BidForJunk Pro is a wage, salary, employee benefit, vacation pay, severance, employment income from BidForJunk Pro, or guaranteed payment from BidForJunk Pro. You are paid as an independent business after the Customer pays and funds clear, subject to this Agreement. Nothing in this Agreement authorizes you to bind CyberErrands Solutions Inc., represent yourself as BidForJunk Pro staff, or act as an agent of BidForJunk Pro.
4. Provider Verification
BidForJunk Pro may require identity, business, insurance, licensing, vehicle, disposal, reference, tax, or other verification information. You must provide truthful, complete, current, and non-misleading information. BidForJunk Pro may approve, reject, suspend, re-verify, or remove a Provider at any time based on risk, incomplete documents, expired documents, disputes, safety concerns, fraud concerns, customer complaints, or platform integrity.
5. Insurance
You must maintain commercial general liability insurance of at least CAD $2,000,000 per occurrence unless BidForJunk Pro approves a different requirement in writing. Your coverage must remain active while you use BidForJunk Pro or perform any Job obtained through BidForJunk Pro. You must provide current certificates of insurance upon request. If insurance expires, lapses, is cancelled, is misrepresented, or cannot be verified, BidForJunk Pro may suspend your account, remove you from jobs, hold access to future jobs, delay payout review, or terminate your account. You are solely responsible for claims involving property damage, personal injury, worker injury, vehicle incidents, subcontractor conduct, unsafe work, disposal issues, and any other risk connected to your work.
6. Bidding
A Bid is your offer to perform a Job for the price, timing, and scope stated. By submitting a Bid, you confirm that you reviewed the information available to you at that stage and can perform the Job professionally, safely, and lawfully for the bid amount, subject only to documented material scope changes approved through the platform.
7. Winning a Job and 24-Hour Commitment Window
If your Bid is selected as the winning Bid, you do not pay an unlock fee and you do not receive the Customer’s personal phone number or email address. You must submit an in-app Commitment within 24 hours of winning the Job unless BidForJunk Pro specifies a different period in writing. The Commitment means you confirm that you will perform the Job according to the accepted Bid, accepted scope, timeline, platform rules, and any approved written changes. If you do not commit within the 24-hour commitment window, the Job is forfeited and may be returned to the marketplace, awarded to another Provider, cancelled, or otherwise handled by BidForJunk Pro. No fee is charged to you and no money moves at the commitment stage.
8. Service Address Release After Commitment
Only after you submit the required in-app Commitment will BidForJunk Pro reveal the Job service address and full Job details needed to attend and perform the Job. Service Address Release is not the release of the Customer’s personal contact information. Unless BidForJunk Pro expressly authorizes otherwise, you will not receive the Customer’s personal phone number, personal email address, or private contact details. Coordination must remain on-platform.
9. Provider Platform Fee
BidForJunk Pro’s standard Provider Platform Fee is 19.99% of the accepted Job value for a completed and customer-paid Job unless another amount is expressly disclosed in writing or in the platform. The Provider Platform Fee is earned only from a real Job that is completed, confirmed or deemed payable, invoiced to the Customer, paid by the Customer, and cleared through Stripe or another payment processor. The fee is deducted from your payout. It is not an upfront unlock fee, contact fee, access fee, or fee charged to reveal customer contact details.
10. No Refund After Unlock Removed / Success-Based Fee
Because BidForJunk Pro does not charge Providers an upfront unlock fee, there is no provider refund associated with unlocking contact details or receiving customer contact information. Once a Job is completed, confirmed or deemed payable, paid by the Customer, and funds clear, BidForJunk Pro may retain the Provider Platform Fee from the payout. The retained fee is non-refundable except where BidForJunk Pro determines, in its discretion or as required by law, that an adjustment is appropriate.
11. Payout Timing and Wait-Financing Acknowledgment
You acknowledge and agree that you are not paid immediately when you win a Job, commit to a Job, receive the service address, start work, or complete work. Your payout is released only after all of the following occur: (a) the Job is completed; (b) the Customer confirms completion or the Job is deemed payable after dispute review; (c) BidForJunk Pro invoices the Customer; (d) the Customer pays the invoice; (e) the payment fully clears through Stripe or another payment processor; and (f) BidForJunk Pro deducts the Provider Platform Fee, payment processing fees, chargebacks, refunds, credits, setoffs, taxes, and other permitted deductions. You understand that Customer invoices may be NET 30 and may be paid later than the date of Job completion. BidForJunk Pro does not guarantee when the Customer will pay. BidForJunk Pro is not required to advance, finance, pre-fund, or personally guarantee your payout. You accept that payout may be delayed until customer-paid funds clear.
12. Performance Obligations
After you commit, you must perform the Job professionally, safely, on time, lawfully, and in accordance with the accepted Bid, accepted scope, job photos, platform notes, service address details, access instructions, and approved changes. You must bring the necessary labour, vehicles, tools, equipment, insurance, licences, and disposal arrangements. You must not abandon a Job, no-show, perform unsafe work, damage property, illegally dump materials, or demand unsupported price increases.
13. No Unsupported Price Increases
You must honour your accepted Bid for the accepted scope. You may request a price adjustment only for a documented material scope change, such as additional items not shown or described, hidden conditions, unsafe access not disclosed, additional work requested by the Customer, or disposal requirements outside the original scope. Any price adjustment must be documented with photos, written explanation, and platform evidence and must be approved through the platform before additional charges apply. You may not pressure, threaten, harass, mislead, or coerce a Customer or BidForJunk Pro to pay more than the accepted Bid.
14. On-Platform Coordination
All ordinary Job coordination must occur through BidForJunk Pro. You must use the platform tools, notes, messaging, scheduling, and support channels provided by BidForJunk Pro. You must not request the Customer’s personal contact details, demand off-platform communications, or attempt to bypass BidForJunk Pro’s workflows.
15. Completion Evidence
You must upload before, during, and after photos, disposal evidence, notes, receipts, or other completion evidence when requested. Evidence must be truthful, accurate, and sufficient to allow Customer confirmation and dispute review. BidForJunk Pro may delay, hold, reduce, or dispute payout if completion evidence is missing, false, unclear, inconsistent with the accepted scope, or contradicted by Customer evidence.
16. Disputes and Payout Holds
If a Customer disputes a Job, BidForJunk Pro may request evidence and may hold payout until the dispute is resolved. BidForJunk Pro may release full payout, release partial payout, require rework, issue a credit, cancel or adjust the Job, suspend your account, or take other commercially reasonable action. BidForJunk Pro’s dispute assistance does not make BidForJunk Pro the service provider, contractor, insurer, employer, supervisor, or guarantor of your work.
17. Legal Compliance and Disposal
You must comply with all applicable federal, provincial, and municipal laws, regulations, bylaws, and rules, including laws relating to waste disposal, environmental protection, transportation, vehicle operation, workplace safety, employment standards, tax, business licensing, hazardous materials, privacy, and anti-harassment. You must not illegally dump, abandon materials, or dispose of items in an unlawful manner. You are responsible for all disposal fees, landfill compliance, environmental claims, and disposal documentation connected to your work.
18. Confidentiality and Access Information
Service addresses, access instructions, lockbox codes, building information, job photos, unit details, tenant-related information, customer records, and other information obtained through BidForJunk Pro are confidential. You may use them only to perform the Job and must not disclose, publish, sell, copy, misuse, or retain them except as required for lawful business records or legal compliance.
19. Anti-Circumvention
You must not use BidForJunk Pro to identify or meet Customers and then bypass BidForJunk Pro to avoid platform fees, platform records, payment processing, or rules. You must not solicit off-platform work from Customers introduced through BidForJunk Pro unless BidForJunk Pro gives written permission. A breach may result in suspension, termination, withheld payout, and a claim for lost fees, damages, legal costs, or injunctive relief.
20. Suspension and Removal
BidForJunk Pro may suspend, restrict, or remove you for expired insurance, false documents, fraud, unsafe conduct, damage, repeated disputes, no-shows, illegal dumping, harassment, circumvention, unsupported price increases, poor performance, breach, or conduct that creates legal, operational, safety, or reputational risk.
21. Indemnity
You agree to indemnify, defend, and hold harmless CyberErrands Solutions Inc., its owners, directors, officers, employees, contractors, affiliates, representatives, successors, assigns, and the BidForJunk Pro platform from all claims, losses, liabilities, damages, fines, penalties, costs, and expenses, including legal fees, arising from your services, workers, subcontractors, vehicles, tools, disposal practices, illegal dumping, property damage, personal injury, workplace injury, insurance failure, tax obligations, employment claims, breach, misrepresentation, customer disputes, or violation of law.
22. Limitation of Liability
To the maximum extent permitted by law, BidForJunk Pro is not liable to you for customer non-payment, customer delay, lost bids, lost jobs, lost profits, payment processor delays, account holds, chargebacks, refunds, platform downtime, suspension, customer disputes, or indirect, consequential, special, punitive, or similar damages. BidForJunk Pro’s total liability to you is limited to the greater of: (a) the platform fee actually retained by BidForJunk Pro from the specific Job giving rise to the claim; or (b) CAD $100.
23. Provider Commitment Checkbox
The in-app commitment language must be materially consistent with the following: “I confirm that I am committing to perform this job. I understand that no payment is taken from me, that I will not receive the customer’s personal contact details, that all coordination occurs through BidForJunk Pro, and that I will be paid at month-end after the customer pays the invoice and funds clear, less the platform fee. I understand that if I do not commit within 24 hours of winning, the job is forfeited and returned to the marketplace.”
24. Governing Law
This Agreement is governed by the laws of Ontario and the applicable federal laws of Canada. The courts of Ontario have jurisdiction over disputes unless BidForJunk Pro adopts another lawful dispute-resolution procedure in updated terms.
